ZeitPass - Terms of Use

1. Who We Are

ZeitPass (“ZeitPass”, “we”, “our”, “us”) is a digital platform and content service operated by:

2. Scope of These Terms

These Terms of Use (“Terms”) govern your access to and use of all ZeitPass services, including:

  • The ZeitPass website at zeitpass.com and all associated pages and subdomains.

  • The Munich Shortlist, a free weekly email newsletter curating experiences in Munich.

  • The ZeitPass User Portal, available on a free basis (Free Tier) and, for paid subscribers, on a membership basis (Membership), the latter governed additionally by the ZeitPass Membership Terms available at zeitpass.com/membership-terms.

By visiting the website, subscribing to any ZeitPass service, or submitting information through any ZeitPass form, you confirm that you have read and agreed to these Terms. If you do not agree, you must not use any ZeitPass service.

3. The Munich Shortlist Newsletter

3.1 Description

The Munich Shortlist is a free weekly email newsletter published by ZeitPass. Each edition contains a curated selection of experiences, events, and activities in Munich, published every Friday morning. ZeitPass reserves the right to change the publication schedule, format, or content at any time without prior notice.

3.2 Editorial Independence

The Munich Shortlist operates on a fully independent editorial basis. ZeitPass does not accept payment, sponsorship, commission, or any form of commercial consideration from venues, event organisers, or experience providers in exchange for inclusion. All recommendations are made at the sole discretion of ZeitPass, based on quality, relevance, and suitability for the audience.

3.3 No Booking or Transaction Services

The Munich Shortlist is an editorial curation service only. ZeitPass does not facilitate bookings, ticket purchases, or financial transactions through the newsletter. Any booking or participation in a listed experience is made directly between the reader and the third-party provider. ZeitPass is not a party to any such transaction and accepts no liability arising from it.

3.4 Accuracy of Content

ZeitPass takes reasonable care to ensure the accuracy of published information. However, event details including dates, times, prices, and availability are subject to change without notice and must be verified directly with the provider before attendance. ZeitPass does not warrant that all content is complete, current, or error-free.

4. The ZeitPass User Portal

4.1 Eligibility

The ZeitPass User Portal, including both the Free Tier and paid membership, is available exclusively to individuals who are aged 18 or over and resident in Germany. By registering for an account, you confirm that you meet these requirements. ZeitPass reserves the right to verify eligibility and to suspend or terminate any account where eligibility cannot be confirmed, including where a registration is found to originate from outside Germany.

4.2 Free Tier

ZeitPass offers a free tier of the User Portal (the "Free Tier") to registered users who have not taken out a paid membership. The Free Tier provides access to personalised event recommendations generated from information you provide during onboarding, and to related account features made available at ZeitPass’s discretion, which may include a chat assistant and messaging via WhatsApp where offered. Where offered, the chat assistant is an artificial intelligence system, and you will be informed of this when you interact with it.

The Free Tier does not include booking facilitation. Where you choose to proceed with an event or experience shown to you through the Free Tier, ZeitPass will direct you, on a best-effort basis, to the relevant third-party vendor’s own website or platform to complete that booking directly with the vendor. ZeitPass does not guarantee that any such link is accurate, current, or leads to an active listing. It is your responsibility to verify all details, including price, availability, and terms, directly with the vendor before proceeding. ZeitPass is not a party to that transaction, does not process any booking or payment in connection with it, and accepts no liability for the accuracy of vendor information, the availability of any experience (including where it is sold out), or the vendor’s performance (see Section 7).

ZeitPass may collect behavioural and interaction data relating to your use of the Free Tier, including but not limited to which recommendations you view, save, or follow through to a vendor, for analytics, service improvement, and to communicate with you about ZeitPass’s services. Full detail on this processing is set out in the Privacy Policy.

ZeitPass may introduce restrictions on the features or content available through the Free Tier at any time, including limiting access to certain categories of event to paid members, and will provide reasonable notice of any such change in accordance with Section 9. The Free Tier is offered on an indefinite basis but is not guaranteed to remain available, in whole or in part, and may be withdrawn or modified by ZeitPass at its discretion.

4.3 Paid Membership

Registered users may choose to take out a paid membership plan (Explorer or Curator, or such other plans as ZeitPass may offer from time to time) for expanded access to the User Portal, including booking facilitation. Paid membership is governed additionally by the ZeitPass Membership Terms, available at zeitpass.com/membership-terms, which form a separate agreement between ZeitPass and each member. By registering for a membership plan, you agree to be bound by both these Terms of Use and the Membership Terms. In the event of any conflict between these Terms of Use and the Membership Terms as they apply to paid membership, the Membership Terms take precedence.

5. Intellectual Property

All ZeitPass content, including but not limited to newsletter editions, website copy, brand name, logo, visual identity, editorial selections, and any original written or visual material, is the exclusive intellectual property of ZeitPass UG (haftungsbeschränkt).

You may not copy, reproduce, republish, distribute, sell, or otherwise exploit any ZeitPass content without prior written permission. Personal, non-commercial sharing of individual newsletter recommendations is permitted, provided ZeitPass is clearly attributed as the source.

6. Acceptable Use

By using any ZeitPass service, you agree that you will not:

  • Use ZeitPass content for commercial purposes without prior written authorisation.

  • Reproduce, scrape, or systematically extract content from the newsletter or website.

  • Impersonate ZeitPass, its directors, or any ZeitPass representative.

  • Use ZeitPass services in any manner that violates applicable German or EU law.

  • Attempt to gain unauthorised access to any ZeitPass systems, accounts, or infrastructure.

  • Submit false, misleading, or fraudulent information through any ZeitPass form or channel.

  • Register or maintain more than one Free Tier account, or use any automated means to create multiple accounts, in order to circumvent quotas, restrictions, or features that ZeitPass applies to the Free Tier.

ZeitPass reserves the right to suspend or terminate access to any user found to be in breach of these Terms, without notice and without liability.

7. Limitation of Liability

ZeitPass provides its services on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, ZeitPass excludes liability for ordinary negligence in respect of:

  • Any inaccuracy in newsletter or website content, including event details, dates, prices, or availability.

  • Any interruption, suspension, or discontinuation of any ZeitPass service.

  • Any indirect, incidental, or consequential loss arising from your use of ZeitPass services.

This exclusion does not apply to breach of a cardinal obligation (a duty essential to enabling your proper use of ZeitPass’s services). Where ZeitPass is liable for ordinary negligent breach of a cardinal obligation, that liability is limited to foreseeable damage typical for a service of this kind.

Vendor non-performance and third-party experiences. ZeitPass acts as a curator and facilitator only. The contractual relationship for any experience or event is between you and the third-party vendor or provider. ZeitPass is not a party to that contract and is not liable for the failure of any vendor to deliver a booked experience, for cancellations by the vendor, or for the quality, safety, or suitability of any experience provided.

Your responsibility to assess suitability. ZeitPass does not have visibility into your health, medical conditions, physical capabilities, or personal circumstances, and does not assess the suitability of any experience for you individually. It is your sole responsibility to determine whether an experience is suitable for you, including where it may carry a risk of injury or harm, or may be unsuitable because of a pre-existing illness or condition, and to make any necessary enquiries of the vendor before attending.

Nothing in these Terms excludes or limits liability for death or personal injury caused by ZeitPass’s negligence, for gross negligence or wilful misconduct, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable German law.

8. Privacy

The collection and processing of your personal data is described in full in the ZeitPass Privacy Policy, available at zeitpass.com/privacy-policy. By using any ZeitPass service, you acknowledge that you have read the Privacy Policy.

9. Changes to These Terms

ZeitPass reserves the right to update these Terms at any time. The current version is always available at zeitpass.com/terms. Where changes are material, ZeitPass will notify active subscribers by email at least 14 days before the changes take effect. Continued use of any ZeitPass service after the effective date constitutes acceptance of the updated Terms.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany. For disputes with business customers, the courts of Munich, Germany have jurisdiction. This does not affect the right of a consumer to bring proceedings in the courts of their own place of residence, or ZeitPass’s obligation to defend proceedings a consumer brings there. If you are a consumer residing in the European Union, you retain the benefit of any mandatory consumer protection provisions applicable in your country of residence that cannot be waived by contract.

11. Severability

If any provision of these Terms is found to be invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.

12. Force Majeure

ZeitPass is not liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from causes beyond its reasonable control, including but not limited to outages or failures of third-party infrastructure or service providers, internet or telecommunications failures, acts of government, natural disasters, or other events of force majeure.

13. Assignment

ZeitPass UG (haftungsbeschränkt) may change its legal form, including conversion to ZeitPass GmbH or any other permitted German corporate form, without this constituting an assignment and without affecting the validity of these Terms, which continue to bind the same legal entity under its new form.

ZeitPass may also assign or transfer its rights and obligations under these Terms, in whole or in part, to any successor entity in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of its business or assets, without your consent. You may not assign or transfer your rights or obligations under these Terms without ZeitPass’s prior written consent.

14. Entire Agreement

These Terms, together with the ZeitPass Membership Terms (where applicable) and the ZeitPass Privacy Policy, constitute the entire agreement between you and ZeitPass regarding your use of ZeitPass services, and supersede any prior or contemporaneous representations, communications, or agreements, whether written or oral, relating to that subject matter.

15. Notices

Legal notices to ZeitPass under these Terms must be sent to contact@zeitpass.com. Legal notices to you will be sent to the email address associated with your account, and are deemed received 24 hours after being sent, unless ZeitPass receives notice that the email was not delivered.
